MANROM Code of Conduct

This Code of Conduct is applicable to every Partner, Officer, Employee, Associate, Insolvency Professional, Empaneled Advisor, hereinafter called as MEMBER, engaged directly or indirectly, expressly or implicitly and fulltime or part-time basis by MANROM Consult LLP, hereinafter called FIRM).

Compliance with this code is a condition precedent for any engagement with FIRM and violations shall, forthwith & summarily, lead to automatic termination of engagement and dealt with as per applicable law.

FIRM is a responsible corporate citizen and our clients expect us to conduct ourselves in a manner that meets highest professional, ethical and moral standards. We owe it to ourselves to ensure that we shall never indulge in any activity that may potentially disappoint either any of us – individually or collectively, or any of our client – past, present or future.

FIRM believes that its MEMBERS are in a position to influence its reputation based on their conduct, personally as well as professionally, that is of utmost importance to FIRM. Accordingly, and to protect and further improve FIRM’s reputation, FIRM lays down following Code of Conduct for its MEMBERS:


MEMBERS shall:

1. INTEGRITY

Maintain highest level of professional & personal integrity in performing their duties & responsibilities.

2. OBJECTIVITY

Ensure that all their actions and decisions meet the test of objectivity and are taken without any bias, conflict of interest, coercion, unreasonable influence.

3. INDEPENDENCE

Perform their obligations with complete independence and ensure that their performance is not influenced due to any affiliations, opinions or bias they may carry either of their own or due to peripheral environment.

4. IMPARTIALITY

Discharge their duties with complete impartiality. Should any conflict arise, or they become aware of it post their accepting the assignment, they shall immediately report it to MANROM for appropriate resolution.

5. COMPETENCE

Take up only those assignments that they are competent to do justice with. In addition, they shall continuously upgrade their skills and knowledge to maintain their individual as well as FIRM edge.

6. COMPLIANCE

Ensure that they comply with applicable law, code, regulations and societal norms & customs in performing their professional obligations. Any violation, difficulty or even doubt must be promptly reported to FIRM for appropriate resolution.

7. TIMELINES

Adhere to the timelines prescribed by the law while discharging their professional obligations. Any slippage, actual or anticipatory, must be reported to FIRM and appropriate authorities for remedial actions.

8. CONFIDENTIALITY

Take utmost care in ensuring the confidentiality of the information and adequate & reasonable care to prevent Data Leakage.

9. PROFESSIONAL OBLIGATIONS

Commit to meet highest standards of professional obligations with respect to restrictions, remunerations, costs and information. They appreciate that their nature of work involves simultaneous engagement with conflicting stakeholders and they are likely to be privy to sensitive information. Accordingly, they commit to use their prudence and seek counsel with FIRM when in doubt, to avoid any compromise on their professional obligations.

10. ETHICS

Commit to highest standards of ethical behaviour that is expected from a person of repute. They shall not accept, directly or indirectly, any gift or reward or take advantage of their position that may potentially undermine or affect their impartiality, independence or prudent judgement in any manner.

FIRM has solemn & unwavering commitment to act as model corporate citizen. It follows ZERO TOLERENCE towards any violation of this code. There is no room for any discussion with & in the FIRM with respect to any conflict with law and society. It does not discriminate and does not accept any discrimination based on individual’s origin, beliefs, preferences and orientations.
